Terms of Service
Last Updated: October 29, 2026
1. Agreement to Terms
By accessing or using the Asterdoc website, open-source software, and related services (collectively, the "Services") provided by Paradoc AI, Inc. ("Asterdoc," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.
These Terms constitute a legally binding agreement between you and Asterdoc. Please read them carefully before using our Services.
2. Description of Services
Asterdoc is a "Documents as Code" platform. Our Services include, but are not limited to:
- The Asterdoc website, including documentation and resources located at asterdoc.com
- The Asterdoc console at console.asterdoc.com, the Asterdoc API, the MCP server, and Asterdoc Sign
- Open-source software libraries distributed via NPM
- JSON schema files hosted on our servers for document validation
- Source code and documentation hosted on GitHub
- Email newsletter communications
- Contact and inquiry submission forms
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
3. Use of Open-Source Software
3.1 License Grant
Our open-source libraries are made available under the MIT License. Subject to the terms of the MIT License, you are permitted to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the software.
3.2 Disclaimer of Warranty
The open-source software is provided "as is" and "as available" without warranty of any kind, express or implied. The full terms of the MIT License govern your use of the software.
3.3 Third-Party Platforms
When you obtain our software packages via NPM or other package managers, your use of such platforms is subject to their respective terms of service and policies. We are not responsible for the operation or policies of third-party platforms.
4. Use of JSON Schemas
Our JSON schemas are made available for document validation purposes. You may freely use these schemas in your applications and workflows. We reserve the right to update, version, or modify schemas at any time. It is your responsibility to ensure compatibility with any schema updates.
5. Credits, Fees, and Payment
This section applies to paid use of Asterdoc: the console at console.asterdoc.com, the Asterdoc API, the MCP server, and Asterdoc Sign. Each organization has its own billing account. Prices are in US dollars.
5.1 Plans
- Pro Trial. A new account's first organization starts on a 14-day Pro Trial. It needs no card. It includes $25 of usage at Pro rates. When it ends, the organization moves to Free.
- Free has no monthly fee. It includes $5 of usage every 30 days.
- Pro costs $199 a month, or $1,990 a year. It includes $50 of usage every 30 days and 25 seats, and its usage rates are 30% lower than the standard rates. Each seat past 25 costs $10 a month.
- Enterprise prices are set in a signed order form or agreement.
Included usage resets every 30 days. Unused included usage does not carry over.
5.2 Usage and Credits
Metered operations are charged as you use them. The standard rates are:
- Validate: $0.001 per call
- Fill or prefill: $0.0025 per call
- Render: $0.01 per page
- Convert: $0.01 per page
- Prepare: $0.01 per output page
- Seal: $0.01 per call
- AI extraction: $0.02 per page
- Hosted agent runs: $0.005 per 1,000 model tokens
- Asterdoc Sign: $0.50 per completed envelope. A declined or voided envelope is not charged.
- Parse: no charge
For rendered HTML, Markdown, or Word output, a page is 2,000 readable characters.
Usage is taken first from your included usage, then from your credits. Credits are a prepaid balance in US dollars. Credits you buy do not expire.
When your included usage and credits run out, we refuse new metered calls until you add credits. Some work is priced only after it finishes, such as an extraction job or an agent run. If that work costs more than your balance, you owe the difference. We take it from your next credit purchase before the rest goes to your balance.
Test mode is free up to your plan's test allowance. We refuse test work past the allowance and do not charge for it.
5.3 Buying Credits
You buy credits by card through Stripe, from $10 to $1,000 per purchase. A balance can hold up to $5,000.
You can turn on auto-recharge. When your balance falls below a level you set, we charge your saved card for an amount you set, up to a limit you set for each 30 days. That limit can be at most $10,000. Auto-recharge is off until you turn it on. If you dispute a card payment, we turn auto-recharge off.
If a credit purchase is refunded or reversed by a dispute, we remove the matching credits from your balance.
5.4 Subscriptions
Pro renews each month or year until you cancel it. Stripe charges your card at the start of each period. If you cancel, Pro stays active until the end of the period you paid for. The organization then moves to Free. If you change plan or switch between monthly and yearly billing, Stripe prorates the charge.
If you delete an organization, its subscription ends at once and the unused part of the period is not refunded.
If a subscription payment fails and stays unpaid, the subscription ends and the organization moves to Free.
5.5 Taxes
Prices do not include taxes. Stripe works out sales tax, VAT, or a similar tax from your billing address and adds it to the charge. You can give a tax ID at checkout. We need your billing address to work out the tax.
5.6 Payments You Collect
Asterdoc lets you collect payments from your own payers, for example in a form or before a signature. These payments are made on your own Stripe account, which you open through Stripe's onboarding. You are the seller, and Stripe's terms apply to your account. Stripe charges its processing fees to your account. Refunds, disputes, and chargebacks on these payments are also charged to your account.
For each payment, Asterdoc takes a fee of $1.00 plus 4% of the amount. The smallest payment you can collect is $10.00. In other currencies we use fixed equivalent amounts. If you refund a payment, our fee is refunded in proportion to the amount you refund.
5.7 Price Changes
We may change prices. We will tell you at least 30 days before a change applies to your account. If you are on Pro, you keep your plan price until your first renewal after that notice period.
5.8 Refunds
Credits are not refundable, except where the law requires it and in one more case: if we stop offering Asterdoc, or close your account without cause, we refund the credits you bought and have not used.
5.9 Order Forms
If you have a signed order form or agreement with us, its prices and payment terms apply where they differ from this section.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS OF THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to defend, indemnify, and hold harmless Asterdoc and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of any third party.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or the Services.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect.
16. Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Asterdoc.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Asterdoc regarding your use of the Services and supersede all prior and contemporaneous agreements, representations, and understandings between you and Asterdoc.
